Job Summary:
We are seeking a highly skilled and experienced Manager of Compliance to join our
fast-growing fintech/nbfc company based in Mumbai. The candidate will be
responsible for ensuring that our organization adheres to all applicable laws, regulations,
RBI guidelines, and industry standards. The ideal candidate will possess in-depth knowledge
of financial regulations and compliance requirements in India, particularly those set forth by
the Reserve Bank of India (RBI). Additionally, strong analytical and communication skills are
essential for this role. The Manager of Compliance will work closely with internal
stakeholders to develop and implement compliance programs and policies to ensure our
operations are conducted in a compliant manner.

Job Responsibilities:

● Prepare all company secretarial documents including Board Resolutions, board
minutes, maintenance of minutes, annual compliance, etc
● Hands-on experience on provisions of Companies Act, & FEMA regulations
● To regularly update Statutory registers
● To fill and upload e-forms with MCA portal from time to time
● To keep an eye on key changes in Companies Act from time to time and prepare
note for management understanding
● To monitor related party transactions for timely reporting
● To prepare the board and board committees agenda after seeking inputs from all the
departments and adhering to the requirements of the Companies Act
● Sound understanding and experience of conducting the Board meetings and drafting
the minutes
● To fill and file FLA, FCTRS and FCGPR with RBI
● Support HOD in audits, external as well as internal, by compiling all the required
documents and handling the audit
● Company Law Quarterly and Annual compliance: Drafting all documentation and
management of Board of Director’s meetings, Annual General meeting, preparation
of notice, agenda, meeting minutes, documents for statutory appointments like
auditors and Board Resolutions.
● Drafting, vetting and negotiation of contracts across business units. You will highlight
any issues which are likely to have revenue implications and exposure to legal,
financial and statutory risks.
● To ensure that the contracts and other documents for business secure Company’s
interests and are compliant with laws, regulations and internal policies.
● Develops contract terms, conditions and modifications of commercial agreements
including confidentiality, Business Terms etc
● Stay up-to-date with relevant laws, regulations, RBI guidelines, and industry best
practices pertaining to the fintech industry in India.
● Develop and maintain a thorough understanding of our company's products,
services, and operations to identify potential compliance risks.
● Develop and implement compliance policies, procedures, and controls in line with
applicable laws, regulations, and RBI guidelines.
● Conduct regular compliance risk assessments and internal audits to identify gaps
and recommend appropriate corrective actions.
● Monitor and evaluate the effectiveness of the compliance program and policies, and
recommend improvements as needed. Provide guidance and training to employees
on compliance-related matters, including conducting regular training sessions to
promote compliance awareness and education.
● Collaborate with internal stakeholders, including legal, operations, and risk
management teams, to address compliance issues and ensure timely resolution.
Establish and maintain strong relationships with regulatory authorities, including the
RBI, and external stakeholders to ensure compliance with reporting and disclosure
requirements. Ensure compliance with RBI guidelines related to licensing,
onboarding, KYC/AML/CFT, reporting, and other regulatory requirements applicable
to fintech companies.
Qualifications:
● CS and BA LLB degree is mandatory
● A minimum of 1 years of experience in compliance or risk management within the
financial services industry, preferably in a fintech/nbfc company.
● Thorough understanding of Indian financial regulations, including RBI guidelines,
AML/CFT requirements, and data protection laws. Strong knowledge of compliance
best practices and industry standards in the fintech sector, including adherence to
RBI guidelines.
● Excellent analytical and problem-solving skills, with the ability to identify and mitigate
compliance risks effectively.
● Proven experience in developing and implementing compliance programs, policies,
and controls in accordance with RBI guidelines.
● Ability to work independently and make decisions in a fast-paced and dynamic
environment. Exceptional communication skills, both verbal and written, with the
ability to convey complex regulatory concepts to stakeholders at all levels.
● Detail-oriented with a strong commitment to accuracy and quality.
