Are Angel Funds guaranteed to invest in all the leads' deals?
Angel Funds are designed to invest in all on-thesis deals until the fund's capital is deployed. However, the fund may reject investment opportunities when the lead is conflicted and outside signals are weak.
What are the costs?
Investors pay only setup fees of 2% as a one-time fees on their investment amount.
For example, an investment of INR 5,00,000 would have an additional 2% be collected for setup fees (INR 5,10,000 in total collected from the LP).
Angel Funds don't charge management fees. Carry is the only form of incentive for successful investments.
Who manages the funds?
AngelList India, acting as an Investment Manager of the fund, will launch the fund and make investment decisions on behalf of the fund in consultation with the GP(s) of the fund.
The fund leads are responsible for sourcing deals and allocating the fund capital to the investment opportunities proposed for investment.
When do LPs learn what a fund has invested in?
The fund will request for consent from the backers on every investment that the fund lead and investment manager have identified.
When do LPs get returns?
Funds will return capital when any of its companies has a liquidation event, subject to the fund’s carry.
When are the capital calls?
LPs invest their full amount upfront. There are no subsequent capital calls.
What updates can LPs expect from funds?
Funds will update investors on the overall status of the portfolio at least once per year. Since fund leads control the distribution of updates, LPs should not expect updates directly from portfolio companies.
Please note that some companies may not share updates as frequently.
Can LPs sell my stake in funds and get out early?
Investors cannot swap or sell stakes in the fund and take an early exit.
Will a fund invest the total amount raised?
The fund aims to invest the total amount raised. The fund will return leftover capital to LPs.
Will funds reserve capital for pro rata opportunities?
No. When practical, pro rata opportunities will be offered to fund investors through other vehicles.
What documentation can LPs expect after closing?
Unit Statements: Since you're investing through a fund structure and not directly into startups, you are allotted units of the fund and not direct equity. You can expect Unit Statements twice a year, with an aggregate FMV (Fair Market Value) calculation of your indexed investment.
Contribution Agreement: During the onboarding process, LPs sign a tri-party Contribution Agreement between the contributor, AngelList India, trustees. This is a one-time exercise that serves as a standard master agreement for your investments through AngelList India's structure.
